Welcome to SalaryX, Inc. (“SalaryX,” “we,” “our,” or “us”). “Employer” refers to any organization using SalaryX to recruit, hire, or manage workers. 
“Job Seeker” refers to any individual creating a profile, applying for jobs, or engaging with employment-related features. 
“Third-Party Services” refers to vendors and partners (such as Simplici) integrated into our platform.

3. Use of Services

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services for any fraudulent, unlawful, or unauthorized purpose.
- Misrepresent your identity, qualifications, or authorization to work.
- Interfere with or disrupt the security, functionality, or operation of the Services.
- Attempt to reverse-engineer, copy, or exploit the Services for unauthorized commercial use.

4. Account Registration and Responsibilities

Users must create an account to access certain features. You agree to provide accurate, complete, and updated information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. Fees, Billing, and Payments

Employers may be required to pay subscription fees, per-use charges, verification costs, and other applicable fees. All fees are due in accordance with the payment terms provided at the time of subscription or use.
- Background checks and identity verification may incur additional charges.
- Fees are non-refundable unless required by applicable law.
- SalaryX reserves the right to change pricing with prior notice.

6. Background Checks and Compliance

SalaryX integrates verification, background checks, I-9, and E-Verify services through trusted partners, including Simplici. By using these features, you authorize SalaryX and its partners to collect and process information necessary to complete compliance and verification procedures.
Employers are solely responsible for ensuring compliance with all employment, labor, and immigration laws.

7. Intellectual Property

All content, software, features, and trademarks available through the Services are the exclusive property of SalaryX or its licensors. Users are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. Any unauthorized use is strictly prohibited.

8. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. SalaryX does not guarantee the accuracy, completeness, reliability, or availability of the Services.

9. Limitation of Liability

To the maximum extent permitted by law, SalaryX shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the use or inability to use the Services, even if advised of the possibility of such damages.

10. Termination and Suspension

We reserve the right to suspend or terminate your account or access to the Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to SalaryX, our users, or third parties.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware.
